MS has been making deals with companies so people can get "personalized ads" from companies they are partnered with. Now does that mean it's always watching, no. Well, here's the thing. Cellphones are triangulated between towers, so anytime you turn it on, your position can be tracked. Smartphones, have GPS, and your position can be identified within feet. Smartphones, where the battery can't be removed, are constantly sending data out. This is a known fact. If anyone wants to know where you go, they can.
That said, the Xbox One is using minimal power when its in standby mode. Does your laptop operate in standby mode? Is it able to record video or voice conversations? No. Neither is the Xbox One. Instead of sitting there waiting for an input from a mouse or keyboard, it's waiting for an input from Kinect. When Kinect hears "Xbox On" then it signals the Xbox One to turn on.
Last I knew, they didn't put a HDD in the Kinect sensor, so it can't do much more than listen for an exact phrase and when it hears it, then provide the input to wake the Xbox One.
