Time Warner didn't really want to be bought by that 'tiny' internet company AOL. Sears, after over 100 years as a huge company, didn't really want to be bought out by Kmart.

There are approximately 1 billions of shares of Sony SNE stock on the New York Stock exchange. One buys enough stock, one controls the company.
Currnetly Sony has the same value that it had in 1974. Down 972% from it's high.
Hey, not trying to argue. I agree Japan would try to stop a takeover, but sometimes things are out of one's control.

Unless buy the shares in NY secretly through multiple different places (probably partially illegal) the price would skyrocket if a big volum is bought... And I'm not even sure if most of the shares in NY are voting ones.

They are all voting stock.
Non-voting stock is required to hold a different call sign.
Assuming someone wanted to conduct a hostile takeover... it might actually be easier then your average company.
Nobody owns 10% of stock in the company, and only the biggest shareholder owns over 5%... and a lot of the biggest owners are various trust accounts... which have reduced holdings lately.
I'll put it this way... Dan Loeb is actually the 5th biggest stock holder.
If somone was willing to offer 25-35 billion, chances are the trust accounts would be forced to vote for a takeover just to avoid being accused of malpractice.
That said... hostile takeovers rarely if ever happen anymore, and there is little reason for anyone to want to take over Sony.
Besides, Microsoft has a lot of deals with sony as it is... including a rumored windows phone.
COULD microsoft hostilly take over Sony? Yea sure.
There is no reason to do so though... taking over sony would probably end up hurting Microsofts bottom line rather then helping it once you sort out all the redundencies.... and Microsoft could use that money better to buy half a dozen promising startups/newly establishsed companies who don't have stock yet on the market.
That's really where the majority of company aquistions have moved too.
