If that were true there would be no market space for Ms now. Both are currently in the market, after all.

MS have billions. They can force a market for themselves even if it's just the UK and US. 



Because there are limited divisions of Sony that MS would actually want as assets.

There would be quite a few redundancies between what the purchase would yield from a Sony merger and from what MS already has.

Such a sale could potentially violate anti-trust law.

MS doesn't want to buy Sony's debt so that they can dissolve unprofitable divisions and keep the few that are currently valuable, namely their media/entertainment properties, their financial services and their video game division.

I suspect the real question is why MS doesn't buy Sony so they can dissolve the Playstation brand or mismanage it to the point where its only a paper asset to avoid antimonopoly laws.

Because MS is a very healthy company with alot of cash and Sony is absolutely not. While the PS4 shows healthy numbers worldwide it is still not making acceptible profits business-wise.
