Notice Regarding Transition to a Company with Audit and Supervisory Committee
and Introduction of Executive Officer System

Nintendo Co., Ltd. (the “Company”) hereby announces that, at the meeting of the Board of Directors held on April 27, 2016, it resolved to plan to transition to a Company with Audit and Supervisory Committee and introduce an Executive Officer System.
The transition to a Company with Audit and Supervisory Committee is subject to the approval of the 76th Annual General Meeting of Shareholders scheduled to be held on June 29, 2016.

1. Company with Audit and Supervisory Committee
(1) Reason for Transition
By establishing an Audit and Supervisory Committee which consists of a majority of outside directors,
the Company aims to strengthen the audit and supervisory functions of the Board of Directors and
further promote corporate governance.

(2) Time of Transition
The Company plans to transition to a Company with Audit and Supervisory Committee upon
receiving approval for the required amendments to the Articles of Incorporation at the 76th Annual
General Meeting of Shareholders scheduled to be held in June 29, 2016.
2. Executive Officer System
(1) Reason for Introduction
By separating the management decision-making and supervisory functions from the execution of
operations and accelerating the delegation of authority to execute operations, the Company aims to
clarify the responsibility for the execution of operations and establish a more flexible management
structure which can appropriately and swiftly respond to the rapidly changing business environment.

(2) Outline of System
- Executive Officers will be appointed by the resolution of the Board of Directors.
- A Director may act concurrently as an Executive Officer.
- Executive Officers will hold their office for one year and may be reappointed.

(3) Time of Introduction
The Company plans to introduce the Executive Officer System concurrently with the transition to a
Company with Audit and Supervisory Committee. 3. Other Information Please refer to the Consolidated Results for the Years Ended March 31, 2016 released today for the
executive appointment after the transition to a Company with Audit and Supervisory Committee and
introduction of the Executive Officer System.
The content of the amendments to the Articles of Incorporation will be announced as soon as
determined.

Well, who knows exactly why Nintendo's marketing has been so poor for the last several years? Perhaps Scott Moffitt's hands were tied by Nintendo higher-ups. Maybe he wasn't very good at this particular job. Hopefully this works out, and we see some kind of media presence from Nintendo in the future. It can only get better. I legit cannot remember the last time I saw a TV spot from Nintendo. It's all Sony, Sony, Sony, with a bit of MS up here in my part of Canadaland.

Can't help but agree. With the first sentence at least. I wouldn't say everything's ok, but they're not at a point of losing everything. Why are people still making a big deal of non-video game related Nintendo products like orchastrated concerts related to their franchises, like the Vans products, the theme parks, amiibo, etc.? Because Nintendo still has a presence in the popular culture as their IPs are still recognized world wide. They'll have to re-group and continue building the course of their plan to expand and create a new ecosystem that will allow their core business to grow again. If this is a move to revamp the structure of their business (which is related to marketing), more power to them.

Disolving the position of marketing executive?! Are you freaking kidding me Nintendo?! God, with killing Splatfest, and yet more DMCA bullshit, it's like everyday the company's becoming increasingly clueless!

Without an executive in charge of marketing Nintendo is gonna be even more screwed than they have been since 2013!

.....At least that's what it looks like to me.

 

 

Why? Their Wii U marketing was absolute garbage anyway. Whoever was in charge of that, deserves to leave the goddamn company for good.

I lol'd, you still should have came in with all guns blazing though! It's your right as a person with hands to hold guns in them!!

 

@OP though, I mean the guy is hardly doing a stellar job right now or for the past number of years, dishing out his duties to more heads could be a great thing especially if he has truly just pumped all his ideas into the Wii-U and they got that system absolutely nowhere. Also yeah other companies have done this practice before Nintendo isn't a pioneer in everything to the point that they're the only company who has ever restructured a position like that.
