There is no hard and fast rule on that.
Being overrated simply means the game is held in higher regard than it deserves. It can apply to either good OR bad games.
Most "Overrated" Games I like :D. Cod and Uncharted are kind of the only huge games I can think of that I didn't really like, and even then I think they're decent games.

Overrated doesn't necessary mean bad! Just look at games like Super Mario Galaxy 2!
