GT5 has the upper edge when based on content and graphics. It has 1000 cars to choose from and runs at 1080p w/60fps. Forza 3 has only 400 cars to choose from and runs at 720p w/60fps. GT5 will also implement head tracking which will be the first of its kind. GT5 also has the official license to feature Nascar and WRC. Thus GT5 wins in terms of content, quality, and technology wise.
However there is one thing GT5 is lacking. Online play. Which is one of the pros in Forza 3.

Thats better. :)
But let me show you what my opinion to your post is.
Point 1: Content is subjective as is Graphics. GT5 has more cars but less tracks. 800+ cars is the official statement from Poly. and 400+ from Turn 10. However the official Poly track statement was 80. Turn 10 said 100+.
Point 2 : GT5 ran at 1280x1080. This is not 1080p. 1900x1080 is 1080p.
Point 3: Head tracking is nice but Iwant to see how it works. 3 screens is still the ultimate way to go.
Point 4 : Official license is not a feature it's part of the car numbers. GT5 doesnt have full Nascar seasons or full WRC seasons.
Point 5: GT5 wins 1 for content and Forza 3 wins 1 for content. Technology wise Forza 3 has a big lead right now. With the inclusion of HD video editor, tyre deformation and full damage where one crash can wipe out 5 cars. Where they can physically take no further part in the race. Also the physics system is based off of Lewis Hamiltons billion dollar simulation at Mclaren F1.
Point 6: Online play has a massive amount of modes in Forza 3. This is an area I really think Poly dropped the ball on.
So yes GT5 has more cars but Forza 3 is taking simulation to new heights. Did you know if you own a steering wheel where you have a clutch, if you misuse the clutch like in realife you can burn out the gears and bugger your gearbox?! Thats the detail in Forza 3 simulation.

Selnor, the car number was bumped to 1000+ (small plus) by official channels. (Not that it really matters except if there are some really special cars in there).
Resolution, schmezolution, whatever.
Head tracking? Hmm...not convinced.
Official license to me sounds like the cars will be as true to real life as possible (or alternatively, as the vendors want them to be). In that sense, GT is the official racing game for all the vendors that have cars in it.
The technology argument might be true seing as they have access to the billion dollar simulator, but there lies the deception. The Xbox360 is not a billion dolar simulator (as far as simulators go, the PS3 is a more capable machine). Plus, Turn 10 is rushing this only 2 years after Forza 2. PD had much more time to refine things.
PD also had an online beta of sorts, going on for years now (GT5P).
The online modes for GT5 we don't know yet about, the tire deformation and all that tricky part we don't know yet about, the extent of the damage modelling on those 170 cars that will have it we don't know yet about and so on.
Just because Turn 10 was more forthcoming with their features means nothing, as PD always were tight lipped.
Having said all that, I have high hopes for GT5, and I might be disappointed.
