Kadokawa gets the cash now, but Sony’s definitely got some "IOUs" coming their way. It’s like lending your friend money, knowing they’ll pay you back with a few extra perks. Trust me, Sony's got a few aces up their sleeve for when the favor comes due.

I suspect as a stock holder with that size (10%+), you get a man at a table, sitting down with other shareholders, when its time to vote on stuff.
That right there, is more than 0 control. You also get a voice, you can use to sway others at this table.
Ontop of that, this buying of stocks, could be put in place, to avoid aggressive takeovers (as we've heard rumors of before).
Ei. Kadokawa reached out to sony, asked them for help/partnership.
When you then come to terms, there would have to be something that could make sony want to invest, or they likely wouldn't just do so.
Even if 300$ million doesn't seem like such a huge amount.
The thing is, there's tons of IP that can now, be made into games, that will grow both the IP and the gaming space, and benefit both sides.
This is my bet, there will be come console exclusive anime turned rpg games, in future, from studios with ties to kadokawa.
(maybe even them just giving sony some of the IP to use for games themselves ect)
I haven't read it but people are saying this is just the start. Sony will slowly takeover the company. Something in the fine print is leading them to believe that. Don't really care either way just want Sony to take over or no one to takeover either situation is fine with me.

Absolutely a possibility.
The only reason I think that SONY opted not to buy them was because of the monopoly issue. Dealing with all that is not worth the trouble of getting FromSoftware. Now if Kadokawa starts shedding some of that Anime and selling off parts of themselves .......

I'm not sure it's because of the monopoly issue because from what I heard it's hard to go after someone for monopolizing "anime" or any sub genre really. Anime is just cartoons. You'll never convince a judge that x-men 97, Aladin, Lion King is different from demon slayer.
I think this is just easier to do it this way for both companies. The company gets more money, no threat of a takeover, and with the deal in place Sony still gets access to the IPs they want. On top of that Sony can spend less money and not have to worry about managing a huge influx of employees and assets.

Nice try.. but false.
It's not about "stock holders" it's about Voting Rights. After the issuance of additional shares (all going to Sony), the voting rights of all shareholders now amounts to 10.11% (and Sony is only third in shareholder value). Hence Sony (at this time) has about 4% voting rights. Whether that is enough to "have a seat at the table" it says nowhere.
It gets even more complicated as the two major shareholders are just trustees (so Sony's 4% is probably more worth compared to the mixed bag constituting the other 6%):
KOREA SECURITIES DEPOSITORY – SAMSUNG and The Master Trust Bank of Japan, Ltd. (Trust Account), although ranked first and second, respectively, in the ranking of shareholders after the Third-Party Allotment, are both trust business operators holding the shares as trust property, and so it has been determined that they do not constitute major shareholders or the largest major shareholder.
So BraLod's assessment of 0 influence is (currently) quite correct as far as Kadokawa as a whole is concerned. As for FromSoftware, Sony holds around 25% now so they do have an influence on strategic decisions I'd guess.
I have a really hard time finding actual numbers on these things, but there are a lot of anime studios out there. (and some of the claims are exaggerated, people were overestimating how much manga Kadokawa makes for example.)

I think the biggest concern for Sony is that Kadokawa does a lot of business that Sony isn't interested in. A lot of Sony's business is global media and electronics. Even their Japanese financial branch, they've been somewhat moving away from. There were discussions of spinning that off.
Kadokawa publishes books, textbooks; they even have a real estate business, and apparently even run a few schools in Japan.

I also can't imagine regulators distinguishing anime any differently from other forms of television/movies.
