If I download a game from XBOX LIVE lets say, MASS EFFECT 3 or BATTLEFIELD 3 or RAGE for example,
Can I download said game in the background and then stick in my Prototype 2 disk and play?

Yes, the games will continue to download as long as you are not playing online matchmaking, so with a single player game like Prototype 2 you will be fine.
