I thought the problem was because, unlike Sony and MS, Nintendo of Europe's physical headquarters is in Germany. Thus the current download restrictions. How are they supposed to get around this without moving their headquarters to another country in Europe?

Maybe they will be able to pass the management duty of the eShop to their different country offices (Nintendo UK, France, Spain, etc.) so only Germany and the european countries without an official Nintendo office will have to deal with this problem.
