You'll likely be able to play Conviction on MAC/Linux, so no, it's not exclusive. And you won't really need GFWL to play Conviction.

so it will be out by April 2010.

well Assasins Creed 2 is out in March 2010 so i doubt they will release it close to it.

so Nov - Dec looks good for this.

Hopefully these past years of development and delays won't be a waste. 360 desperately needs somes system sellers to compete with Sony this Christmas. Splinter Cell would be a good start.

PC/XBox 360 is Microsoft and it is unlikely it will appear on PS3. A Wii version of this game would be fine though because it would be different and be more interactive.
