I'm pretty sure that Microsoft own the rights to Gears of War, so would they create another studio to handle the franchise?

Unlike Take-Two, Epic is a private company. EA will have to make the prospective deal real sweet if they want it to be taken seriously.
Doesnt matter. Microsoft is learning to make their own games in-house now. They want less to do with being a third party publisher going forward.
It would be a bad thing for Unreal Engine.
Last time EA bought an Engine company, every competitor switched to a different one ( that's how Unreal Engine became so big..)
