The Wii U's Virtual Console is literally going to be the Wii's Virtual Console, because they don't want to re-program and re-test the emulators/games.  I'd imagine similar reasoning goes into why they're separating the 3DS' Virtual Console from the Wii/Wii U one.

Well, that and greed, of course.

If that is true they should have let EA do their online.

There are no GBA games on the 3DS, aside from the ambassador games.

Yep.  That's why the Nintendo Network ties games to an account rather than hardware.  

Because they don't do technical solutions....oh wait.
