It's how Iron man's team got there, they aren't going to destroy it, plus I don't think Ironman's team knew until it was too late.

On the latter, I don't think so. I think technically Marvel don't own the rights like everything else but mutants and Spider-man. I think in fact it is a Spider-man style deal. Universal owns the rights for solo films while Marvel cn put him in their films. It's a weird one.
