Well, they would be in danger of one if Japan's corporate governance structure wasn't as locked-down as it is. But i'll let this lie since you don't seem interested in accepting outside input.

They are a large company with some very strong assets, buried under a mountain of liabilities both fiscal and metaphorical. In the West, this would be a prime opportunity for "creative destruction", e.g. somebody buying them out, liquidating the dead weight, and focusing on the strong suits. Japan has several safeguards in place to prevent takeovers, however.

Nobody's seriously suggesting that Sony will be bought out, but the company is not well by any definition, and this too needs to be acknowledged.
