Let me sum it up for you : Sega has the IP, they have Bayo 2 versions likely out of their agreement with Nintendo, and they have plenty of customers to satisfy. Why wouldn't Sega take advantage of that and sell a Bayo 2 Climax edition to the numerous Bayonetta fans waiting in the cold, crying in front of WiiU shelves?

Meanwhile, why shouldn't they take advantage of it? Because of a massive lawsuit that will bankrupt them. Nintendo owns the gamecode for the completed game, what SEGA would, in theory own, is some unfinished and unutilized code sitting on some computer somewhere not even built for the WiiU's architecture as per the rest of the game. If SEGA wants to turn that into a game, they'd have to literally develop it from what little there might be and use nothing from Bayo2 assets as they don't own those. (And they don't own PGames, that code could well have been entirely destroyed by now or reworked for the purposes of Bayo2 on WiiU.)

If you want the game, buy a WiiU.
