Steam has offline mode and discounts (as well as much more reasonable regular prices) and pretty much no limitations to what you can do with 'your' games. Of course you can't sell the games you have on Steam.
Also, Valve is more trustworthy than MS. Of course you could argue that they're both in just trying to make as much money as possible and in a way, that's true. However, I find that point of view to be overly cynical.
