It really isn't a huge surprise to me. The first Prototype did pretty decent in sales and it was a good game. The second is doing about half as good if that.
Now days its getting harder and harder for these studios/publishers to make much profit on games unless they have huge sales. Gaming fans demand more elaborate games with a lot of gameplay because if not the game will get crapped on by the community and so it should. So developers costs have gone way up. If you have a game that sells 1 million+ copies and its squeal sells around half that...in most all cases expect changes with that studio whether its a closing or a sell off.
