The upscaled version runs at a lower resolution, so it will look much, much nicer on a HDTV. It will also play at 60 FPS (where the PS2 games run at 30 FPS) and there won't be any screentearing.
So, nicer graphics, smoother gameplay (due to the FPS increase) and trophies.
