Two reasons.

1. Google is worth about $180 billion. MS is worth $260 billion, and Microsoft has much less than that in cash ($25 billion, though I less certain of that figure).

2. Since they are in competition in so many areas (search, advertising, office suite, desktop OS, mobile phone OS, web browser, developer tools, and many others) it would reduce the competitiveness of the market considerably and the US FTC and/or EU would forbid the buyout.
