That's true, MS won't be able to get their hands on everything, but with the knowledge that everyone else isn't going to just sit around and watch, it'll just put that much more pressure on MS to stuff their face while they can before all the best deserts are gone.
Yes, things PS needs, and the broader fact that it's the PC realm, MS territory and their worst fears, that PS will start entering the PC market and with grand plans. My full blown OS idea isn't an immediate thing but long term. First get the gaming taken care of and make the brands even stronger. Then create the OS and initially sell it to all gamers using Steam, then go from there. Slowly eat away at the Windows market share.
If profits are anywhere near estimated, it would be a very efficient buy, and safer than Take Two, financially anyway, which also means lots of profits to keep acquiring, building, and creating more sooner than later. It's not a terrible idea, other than it might actually make all of MS sweat a bit and put them on alert, not just XB.
