Well, they've outright said it, so we know their intentions at least 
If Sony denies the deal, it doesn't really matter if regulators accept it, Sony not bitching may mean a smoother deal but it's not a guarantee, it has always been what regulators deem reasonable, and it seems that regulators do what concessions in some form one way or another, only difference is Microsoft makes the deal with regulators instead of Sony.
Would be hilarious though if FTC/EC/CMA were just like "actually, we don't need concessions, it's fine" Lol. But Microsoft is already submitting concessions to regulatory bodies so it's too late, I think in some regulatory bodies, they don't really care about Sony as much as they do having a perceived win against big tech.
