The difference is that now instead of them paying him a royalty (a percentage of sales), they have come to an agreement by which they can use his name and his intellectual properties (characters and settings) for a lump sum. They have now quantified that use, so if the franchises become tremendously succesful (even more so than now) Ubisoft will not pay more money to Tom Clancy. (EDIT: For TC it means that if the franchises decline, he won't lose money.)
It is a huge plus for both parties because it will go into Ubisoft books as an expense in a year which should be highly profitable(RSV2 and SC:Conviction), but the procedes of games from subsequent years will all be Ubisofts (they won't have to share a portion with TC). Its great for TC, because he'll be sitting on a huge sum of money and he won't have to wonder if Ubisoft will make another game with his name in order to deceide if he wants a red bentley or a blue one.
