What's the legality behind it? Wouldn't they have to get permission for the use of roms? I was under the impression that Nintendo has to do so for their Virtual Console, which is basically a rom dump, so I assumed the same applied here.

I've heard that both the emulation of the 80 preloaded games and Genesis carts you plug into the system aren't perfect - the games themselves don't quite run up-to-speed. That being said, it is indeed an officially licensed product - Sega approved it.
