If you're able to keep your old 3DS in any way (either by only buying the 3DSXL without exchanging it for the old 3DS, or if they allow you to keep it long enough), you can do a system transfer in the Settings menu. 

That will allow your 3DSXL to be exactly as your old 3DS was, same friend list, same FC, same downloaded games, same data, etc. etc. 

If you're not able to do that, then yes, you'll have to re-register all your friends and they'll have to re-register you as well, because your new 3DSXL, without system transfer, will generate a new FC.
