I can think of a few...
1. Memory cards- Just plain ridicocious.
2. Price point- 3DS is cheaper and for people on a budget this may be a problem
3. Lack of appealing software for Japan- Even Tales can't save the dought. Gravity Daze? Maybe.
4. Monthly fee for 3G usage- Yes, this is actually a problem for some people who don't like 3G
5. 3DS is killing- Super Mario 3D Land, Mario Kart 7, and Monster Hunter Tri G? A triple KO for disaster!

This is just for Japan. I don't know how the Vita will perform for the rest of the world. But, during the same month as it launches, five games for 3DS( Resident Evil, Metal Gear Solid, Tekken 3D, Tales of the Abyss(the U.S launch), and Mario & Sonic at the London Olympic Games, which the Wii version is doing well in UK and the portable versions have good numbers as well) will be released before Feburary 22nd. I'm getting Tekken and Tales of the Abyss. I'm thinking about Resident Evil( I don't like horror games, but this looks tight!) and Metal Gear Solid(game looks promising and I'm thinking about getting into the series. Might as well start with the first one chronically). Note that, this is just my opinon.
