It has no 3D.
Heath Ledger's performance combined with his death created an unprecedented amount of media attention that will not be present for The Dark Knight Rises. I know many people who went to see the movie just for The Joker.
Batman is mostly popular in the US where the movie industry isn't thriving as much as it used to especially this year. It's all about the foreign market. Unless they invest a lot in advertisement in foreign territories I don't see it doing as much as other movies such as The Hobbit which has a lot of potential for being related to The Lord of the Rings.
