The E6420 is more than powerful enough to run Win7 64-bit. It is, however, pretty weak for games. You could easily upgrade to a mobo + CPU combo that would blow that one out of the water for about $150 if you wanted to - just wait a few days for the Athlon II X3 440 to show up and grab an AM3 or AM2+ mobo that supports your RAM along with it (I'm assuming that you're using some flavor of DDR2).

Either way, I wouldn't buy another LGA 775 CPU. The standard is pretty much dead by now, and any CPU that uses it is overpriced for what you'll get. AM3, by contrast, will let you upgrade to a new mid-range CPU in two years without replacing your mobo.
