Releasing it as retail IMO is just a cash in.

So that makes every game of the year edition a cash in too. I mean seriously, are you really complaining that they've put them both on the retail market, for the exact same price, without you having to have GTA IV to play them?

This way, if you aren't connected to the internet, you can play them. If you already traded in or sold GTA IV, you can play them. And if you didn't download the first episode, you can play them too. If you wanted a hard copy, you have it now. What are you complaining about? It's 20+ hours of gameplay, which is more than 99% of other DLC and much more than other "retail" games.
