Do all of your side quests you want, level up the player to your wanted area and up the skills the way you want. All of these affect episode two.

Do you get to keep your items/money/stats in transition from episode one to two?

Items and Money yes, stats to a point. The higher your stat the higher you start out with, but it isn't the same as you started out with. The same thing could be said for skills.
