Spiderman realized in this comic, that he could not beat Wolverine. They realize the only way they could beat each other, is to kill each other. Spiderman thinks he knows a way to kill Wolverine, but My guess is that method would not work, while Wolverine's method would definitely work.
So X-men win. In fact, most any x-men could probably do very well against spiderman, but that's one of the charms about him. He has a lot of vulnerabilities.
It's why I hate Superman. Who likes someone who could never lose? Kind of boring.
