Because they have already tried to buy Nintendo the normal way, and it didn't work.

To try a hostile takeover could well mean that many of Nintendo's best employees would leave the company to form their own game studios or a new company similar to Nintendo. Hostile takeovers of tech companies are a hard thing to do... what you get is a bunch of software, IP, desks, chairs and computers. The real richness of Nintendo is in the employees who are not as easy to buy.
