You need it for downloading DLC, Movies and Movie Rent, TV Shows, PSN/XBLA Games, Demos for both the 360 and PS3.
You WILL be able to download games with the New Xbox Experience coming out on November 14(?). (360 only)
You need to sometimes Install Mandatory installs for games. (PS3 only)
That's is all I can think of right now.
