The Genesis version has a better representation of the Matrix, to start. On top of that, it is much closer to the original game in terms of the way it plays and the aspects it incorporates. It's also highly open-ended, and should get a lot (or at least some) of the credit that goes to GTA in terms of creating the sandbox style of game, even if it was highly primitive in that regard. The Genesis version also lets you choose your class (though it only has three options as compared to the dozen plus from the original game) and doesn't have the annoying (if inventive) feature of assassins being freaking everywhere.
